Africa50 is an investment platform, focused exclusively on Africa's infrastructure investment opportunities. It is an independent, profit-driven, commercially managed entity that provides a means for private sector investors to bring capital to infrastructure development, while securing a commercial return. Africa50 is focusing on large-scale, transformative, commercially and developmentally sustainable infrastructure projects. It prioritizes investments in high-impact national and regional projects in the energy, transport, information communication technology and midstream gas sectors and expands to other economically viable and impactful sectors such as healthcare, education, and fintech. Africa50 - Project Development seeks to increase the number of bankable infrastructure projects. It invests early-stage equity and quasi-equity and engages with stakeholders throughout the deal cycle with the aim of accelerating project implementation.  Africa50 - Project Finance engages stakeholders near to or after financial close. It provides equity and quasi-equity with flexible exit options. Africa50 leverages shareholders countries’ capital commitment to mobilize long-term savings from within and outside Africa. The result should be a significant contribution to efforts that ensure sustained economic growth on the African continent.

The Role

The Legal Counsel, Administration and Governance acts as Assistant Corporate Secretary and is responsiblie for corporate administration and governance.

Principal Responsibilities 

The Legal Counsel, Administration and Governance will assist the department as follows:

  • Advise on international public law (including sovereign immunities issues and other issues relevant to international financing institutions) and on administrative, governance, institutional, and personnel matters
  • Be the primary liaison for Africa50’s Investor Relations team responsible for shareholder and Board matters.
  • Plan and execute a Board communications strategy
  • Prepare and coordinate the preparation of materials for the General Shareholder Meetings and the Board of Directors' meetings, draft minutes and the corporate resolutions for subsidiaries
  • Responsible for all administrative law and corporate governance issues, including conflicts of interest, ethics, grievances, among others
  • Draft and review Africa50’s operational contracts, such as for example, rental and utility agreements, contracts with major suppliers of goods and services
  • Review, negotiate and close early stage documents such as non-disclosure agreements, MOUs, etc.

Candidate Profile 

Essential Qualifications & Experience

  • A degree in private and public law, international finance, commercial law, comparative and corporate law
  • At least three years experience in a top-tier law firm
  • At least three years experience working as an in-house lawyer (ideally in the private sector or at DFIs)
  • Experience working on issues relevant to international financing institutions (such as sovereign immunities)
  • Fluent in written and spoken English and French

Business Acumen

  • Independent, pragmatic and business-oriented, with the capacity to solve problems
  • Able to work as a partner with business colleagues to get deals done efficiently, quickly, and in a legally appropriate manner
  • Familiarity with the work of other multilateral and bilateral development finance institutions and the private sector

  • Commitment to consistent delivery of the highest quality outputs, with deep technical understanding and attention to detail
  • Ability to ensure flawless execution skills, a sense of urgency, and an antennae to identify problems early
  • Must be result-autonomous, result-oriented, self-motivated and possess the ability to be “hands on”
  • Ability to work under pressure and maintain a high degree of performance across functions in a multicultural and distributed organization
  • Excellent drafting skills and the ability to autonomously draft documents and correspondence that does not need further editing

  • High degree of discretion, tact and sensitivity in dealing with stakeholders at all levels, both internally and externally
  • Excellent interpersonal and negotiation skills with the ability to adapt one’s style to different cultural contexts
